1) Terms of Service (ToS) / Terms & Conditions

Owner: Placid Works LLC (“Placid Works,” “we,” “us,” “our”)

Services: AI strategy, implementation, training, managed services, and related consulting across Microsoft Cloud (collectively, “Services”).

1. Acceptance of Terms

By accessing the Site or using our Services, you agree to these Terms and our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any additional Service‑Specific Orders/CONSULTING AGREEMENTs. If you are entering into these Terms on behalf of an organization, you represent you have authority to bind that organization.

2. Eligibility & Accounts

You must be at least 18 and have capacity to contract. You are responsible for safeguarding logins and actions taken under your account.

3. Orders, Consulting Agreements, and Service Changes

Project scope, deliverables, fees, and timelines will be defined in an Order or Consulting Agreement. In case of conflict, an Order/Consulting Agreement controls over these Terms. We may update non‑material Site features and these Terms; material changes will be posted with a new effective date.

4. Fees, Invoicing, and Taxes

Fees are as specified in the Order/Consulting Agreement. Invoices are due Net 15 (unless stated otherwise). Overdue amounts may accrue 1.0% per month (or the maximum allowed by law). Fees exclude taxes; you are responsible for applicable taxes other than our income taxes.

5. Cancellations & Refunds

See Refunds & Returns Policy. Consulting engagements are fully refundable up until the commencement of the first meeting between Placid Works and Client.

6. Acceptable Use

You agree to the Acceptable Use Policy and will not (a) violate law, (b) infringe IP, (c) attempt to breach security, (d) misuse AI systems, or (e) submit unlawful or sensitive data beyond agreed scope (e.g., PHI/PCI) unless an applicable DPA and controls are in place.

7. Customer Content & Feedback

You retain ownership of content you provide (“Customer Content”). You grant Placid Works a non‑exclusive license to use Customer Content solely to deliver Services. Feedback may be used to improve our offerings without obligation or attribution.

8. AI Outputs and Use of Third‑Party Platforms

Our Services may utilize Microsoft and other third‑party AI tools. AI outputs can be probabilistic, contain errors, or be incomplete. You are responsible for reviewing outputs before production use. Third‑party tools are governed by their own terms; you agree to comply with them.

9. Confidentiality

Each party may access confidential information. The receiving party will protect such information using reasonable measures, use it only for the engagement, and return or destroy it upon request. Exceptions apply to information that is public, independently developed, or obtained lawfully from a third party.

10. Data Protection

We process personal data as described in our Privacy Policy and any applicable Data Processing Addendum (DPA) when acting as a processor on your behalf. You represent you have lawful grounds to provide personal data to us.

11. Intellectual Property

  • Placid Works IP: We retain all rights to pre‑existing materials, generalized know‑how, frameworks, methodologies, templates, and non‑client‑specific tools used or developed during an engagement.

  • Deliverables: Unless otherwise stated in the Order/Consulting Agreement, upon full payment you receive a non‑exclusive, perpetual, worldwide license to use project deliverables for your internal business purposes.

  • Third‑Party IP: You must comply with third‑party license terms for any software or models used. Microsoft trademarks are owned by Microsoft and used under fair use or applicable permissions.

 

 

 

12. Publicity

We may use your name and logo in a customer list and high‑level case descriptions, unless you opt out in writing.

13. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUTS OR RECOMMENDATIONS WILL BE ERROR‑FREE OR MEET YOUR REQUIREMENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUES/GOODWILL. EXCEPT FOR (A) YOUR PAYMENT OBLIGATIONS, (B) BREACH OF CONFIDENTIALITY, OR (C) IP INFRINGEMENT INDEMNITY, EACH PARTY’S AGGREGATE LIABILITY IS LIMITED TO THE AMOUNTS PAID OR PAYABLE TO PLACID WORKS IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

  • By You: You will defend and indemnify Placid Works against claims arising from your Customer Content, misuse of Services, or violation of law/third‑party rights.

  • By Placid Works: We will defend and indemnify you against third‑party claims alleging that our deliverables (as provided by us) infringe IP, except to the extent caused by your modifications, combinations, or instructions.

16. Export & Sanctions

You will comply with applicable export control and sanctions laws, including U.S. regulations, in using the Services.

17. Suspension & Termination

We may suspend Services for material AUP or legal violations. Either party may terminate for material breach not cured within 30 days after written notice. Upon termination, you will pay for Services performed and expenses incurred.

18. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, excluding its conflicts of law rules. Mandatory arbitration in Burlington County, NJ under the AAA Commercial Rules; each party bears its own costs/fees; injunctive relief may be sought in courts of competent jurisdiction.

19. Miscellaneous

These Terms, the Privacy Policy, Cookie Policy, AUP, and any Order/CONSULTING AGREEMENT constitute the entire agreement. No waiver is implied. If a provision is unenforceable, the remainder stays effective. You may not assign without our prior written consent (not unreasonably withheld), except to an affiliate or in a merger/sale.

2) Privacy Policy

1. Scope

This Privacy Policy explains how Placid Works LLC collects, uses, shares, and protects personal information on our Site and in delivering our Services, including AI‑related consulting.

2. Information We Collect

  • Directly from you: contact details, account info, billing data, project artifacts, training inputs.

  • Automatically: device/usage data, IP address, browser type, pages viewed, timestamps, approximate location, and cookie/SDK identifiers.

  • From third parties: Microsoft 365 tenant data (as authorized), analytics providers, partners, and public sources.

3. How We Use Information

  • Provide, secure, and improve the Site and Services

  • Configure and deliver engagements, support, and training

  • Analyze usage; develop and improve templates, methods, and AI prompts/workflows

  • Communicate about updates, events, and promotions (you can opt out)

  • Comply with legal obligations and enforce our agreements

4. Legal Bases (EEA/UK)

Where GDPR/UK GDPR applies, we rely on: (a) performance of a contract, (b) legitimate interests (e.g., service improvement, security), (c) consent (e.g., certain cookies/marketing), and (d) legal obligations.

5. Sharing

We share with:

  • Vendors/Processors: hosting, analytics, security, billing, document processing, AI platforms (e.g., Microsoft) under contractual safeguards

  • Business transfers: in M\&A or corporate transactions

  • Legal compliance: to meet legal requests or protect rights
    We do not sell personal information.

6. International Transfers

We may transfer personal data internationally using appropriate safeguards (e.g., SCCs) where required.

7. Data Retention

We retain data for as long as needed for the purposes described or as required by law, then delete or anonymize it.

8. Security

We use appropriate technical and organizational measures (access controls, encryption in transit where applicable, least‑privilege, monitoring). No method is 100% secure.

9. Your Rights

Depending on your location, you may have rights to access, correct, delete, restrict, port, or object to processing; and to withdraw consent. To exercise, contact info@placid.works. If unresolved, you may lodge a complaint with your supervisory authority.

10. Children

Our Services are not directed to children under 16, and we do not knowingly collect their data.

11. AI/Model‑Related Notices

  • We may process Customer Content to configure prompts, evaluate model outputs, and deliver solutions.

  • Unless expressly agreed in a DPA or CONSULTING AGREEMENT, we do not use your confidential Customer Content to train our or third‑party foundation models.

  • When we use Microsoft services, Microsoft’s privacy and data handling terms apply to those components.

12. Do Not Track & Global Privacy Control

We honor legally recognized signals where required and feasible.

13. Changes

We will post updates with a revised Effective Date.

4) Acceptable Use Policy (AUP)

You agree not to use the Site/Services to:

  1. Violate law or third‑party rights (IP, privacy, publicity).

  2. Upload or process unlawful, harmful, or highly sensitive data (e.g., PHI/PCI) unless explicitly covered under an CONSULTING AGREEMENT/DPA with adequate controls.

  3. Attempt to interfere with or probe the security or integrity of systems.

  4. Misuse AI systems (e.g., prompt injection attacks, attempts to bypass safeguards, generating unlawful content).

  5. Send spam, malware, or perform denial‑of‑service activities.

  6. Impersonate others or misrepresent affiliation.

  7. Remove or alter proprietary notices.

We may suspend or terminate access for violations.

5) Disclaimers (General, Professional, Affiliate)

  • General: Content is provided for informational purposes only and does not constitute a guarantee of results.

  • Professional: Any architectural, security, compliance, or AI guidance is advisory; your organization is responsible for validating fitness for your specific environment, conducting risk assessments, and making final implementation decisions.

  • Affiliate/Referral: We may receive compensation for referrals or partner programs. We only recommend tools we believe are valuable, but you should conduct your own due diligence.

6) Refunds & Returns Policy

Consulting & Services

  • Time & Materials: Billable hours/deliverables already performed are non‑refundable.

  • Fixed‑Fee: If you cancel, refunds (if any) are prorated against completed milestones and non‑recoverable expenses.

  • Prepaid Consulting Engagements: Cancellations ≥1 business day before start: 100% refund; <1 business day or no‑show: no refund. You may substitute attendees at no charge.

Digital Deliverables

  • Once delivered and accessible, digital assets (documents, templates, code snippets) are non‑returnable and non‑refundable, except where legally required or as expressly stated in the CONSULTING AGREEMENT.

7) Copyright & IP Notice / DMCA Policy

  • Ownership: All Site content, logos, and marks are owned by Placid Works or our licensors. Microsoft and other third‑party marks are property of their respective owners.

  • Permitted Use: You may view and make reasonable copies for internal use; you may not reproduce, distribute, or create derivatives without permission.

  • DMCA: If you believe content infringes your copyright, send a notice to dmca@placidworks.com including: (a) your contact info, (b) identification of the copyrighted work, (c) the allegedly infringing material/URL, (d) a statement of good‑faith belief, (e) a statement under penalty of perjury of accuracy and authority, and (f) a physical or electronic signature. We may remove content and notify the user.

8) Accessibility Statement
